A structure that reflects and reinforces our commitment to good governance

Agilyx has adopted and implemented a corporate governance regime which complies with the Norwegian Code of Practice for Corporate Governance, dated 14 October 2021 (the “Corporate Governance Code”) and is committed to the principles of good corporate governance, with a governance structure consisting of a board of directors (BoD), committees and executive management. The following three BoD committees each have a chair: audit, compensation and environment/sustainability/governance.

The full BoD has responsibility in nominating the activities related to the Board.

Pursuant to its articles of association, the Company has a nomination committee. The general purpose of the nomination committee is to propose nominees for election to the BoD and its chair, and suggest (in cooperation with the compensation committee) the renumeration for the Board and BoD committee members.

Advanced technologies like Styrenyx reduce society’s reliance on fossil fuels and support the transition to a lower carbon future. Plastics made from recycled feedstock have a lower greenhouse gas footprint than traditional plastics made from below ground fossil sources, such as oil and natural gas.

Diverting plastic waste from landfills and to feedstock processing facilities contributes to this goal by reducing plastic pollution in our oceans and waterways.

Agilyx is enabling efforts to reduce plastic pollution on land by supporting the creation of pathways to divert plastic waste from landfills and into feedstock processing facilities, promoting a circular economy with lower CO2 emissions.

Dr. Faulkner has over 20 years of technical and organizational expertise in engineering, technology, analytics and administration, delivering innovative technology, products and operating assets to market. He has held engineering, scientist and management positions in the renewable energy and chemicals industry sectors with a focus on sustainability and stewardship. Dr. Faulkner has a proven track record of commercializing innovations and successful project management. He is an inventor of novel polymer composite materials and has led the certification and commercialization of the international product launch of a 5 kWe combined heat and power fuel cell system. 

Dr. Faulkner brings technical, commercialization, innovation, project management and business acumen to the advancement of the Agilyx Solutions platform of superior materials management and chemical recycling. Dr. Faulkner holds a B.S. in Chemical Engineering from the University of South Florida and a doctorate in Chemical Engineering from Vanderbilt University.

In 2009, Mr. Bhatia led Saffron Hill’s investment into Agilyx’s first institutional investment round and has been an active shareholder since that time and a Board member until his appointment as CEO. While managing Saffron Hill Ventures, he has led its investment activity in a wide variety of companies ranging from bio-pesticides and sustainable textiles to internet e-commerce, and software. He currently serves on the Board of Coyuchi Inc., a California-based leader in the sustainable textiles segment, he is a director of Saffron Hill Ventures Ltd. and is on the Board of Cyclyx International LLC, Agilyx’s plastic waste recycling feedstock management joint venture.

Mr. de Geofroy is the Vice President of Information Technology and Analytics at Agilyx. Mr. de Geofroy has over 15 years of engineering, technology, and management experience in R&D and manufacturing, including roles at GE Plastics (now SABIC), Lockheed Martin Space Systems, and Safran Aerospace, among others. Mr. de Geofroy specializes in developing high performance technical teams, with an emphasis on data, analytics, and AI/ML; digital transformation and enterprise architecture; internal software development; and cybersecurity. He earned his Bachelor of Science in Electrical Engineering and his MBA from the University of Massachusetts Amherst.

Mr. Norris is Chair of Virgin Group Holdings Limited, a multinational privately held investment firm with holdings in a wide range of industries. He has over 45 years of experience in investment banking and business management. Mr. Norris began his career at Barings in 1976. In 1984, he joined Goldman Sachs, before returning to Barings in 1987 to head the South-East Asian advisory operations. After returning to London, in 1995 he became CEO of Barings Investment Banking Group. Three months after his appointment, the notorious derivatives trading scandal in Singapore was revealed, which brought down the bank. In 1996, Mr. Norris established a corporate finance business, constructed around the needs of a customer base of owner-entrepreneurs. In 2007, he merged this business with Quayle Munro Holdings Plc, an AIM listed company and became the CEO of the combined entity. He served in this capacity until the end of 2009, when he resigned his executive position to take the role of Chair of the Virgin Group. Prior to becoming Chair of Virgin, Mr. Norris had acted as an adviser to the Group from 1996 and chaired Virgin Active from 2002 to 2007. Mr. Norris graduated in 1976 from Oxford University with a first-class degree in Modern History and Modern Languages.

Ms. Clarke is a chartered accountant and Vice-President of the Chartered Institute of Internal Auditors. She qualified with PwC and spent 20 years in roles including external audit, transactions, internal audit, risk, governance, conduct and controls optimization. After admission to partnership in 2008 Carolyn established PwC as the leading international firm in Mongolia. In 2015 Carolyn moved to take on an in-house Head of Audit, Risk and Control role with Centrica plc, the largest utility and energy company in the UK. Carolyn founded and leads a boutique consultancy focused on assurance, risk, governance and control activities, Brave Consultancy. She is a former Chair of Care International UK, a global international development and humanitarian organization and the former Audit Committee and Ethics & Sustainability Committee Chair of Starling Bank, a pioneering digital bank.
